I am the CEO of [url removed, login to view] - we have just agreed terms for our first enterprise deal. With this being the first of its kind we are in rapid need of a UK 12m contract/agreement to be drafted.
My software is a SaaS platform that is providing call services to the client. We have built a widget that sites on the [url removed, login to view] website and gathers the phone number information of their visits who request and instant callback, then my tech facilities this.
Note these are 2 UK companies.
The contract confirms 12m subscription/use of our service. In terms of limits of use, they have unlimited "credit" usage subject to a fair usage policy. Our usage is defined ina credit system, A credit is defined as a connected phone call between the customer and the "lead"/telephone number lasting over 5seconds in length and up to 10minutes in length. If exceeds 10min this becomes the second credit. This 10min cycle process repeats. EG 45 min call = 5 credits.
Agreement and agreed service will last from May 31st 2017 to May 31st 2018
The fair usage policy says that if the customer is regularly exceeding the 2,000 credit mark monthly, or as an average over the first 6 months is excess of 2000/month, we reserve the right to increase the 3rd and 4th quarterly installments to reflect the additional usage. In laymen’s terms, this means that if they using an excess of an average of 2000 a month during the first 6 months we reserve the right to raise the next two installments. But the next 2 (3rd and 4th) installments will be a minimum of £2850 each. Total contract minimum value is £11,400.
quarterly upfront payments of £2850, the first of which is due by May 31st 2017. Second will be due on August 31st 2017. 3rd Nov 30th 2017 4th Feb 28th 2018. The 3rd and 4th installments are subject to the fair usage policy detailed above.
Payment will be via invoice and bank transfer.
The agreement must also include the following feature requests. ResponseiQ agrees to build the ability for our system to connect calls to the dynamic numbers throughout their website. Currently we connect calls to a static number provided in the backend. This dynamic ability is a custom advanced feature and is agreed to work throughout their entire website. We will connect the calls to any telephone number that is currently displayed at the top of their website, these numbers are specific to each website visitor to allow the customer deep analytical capabilities. We also agree to build the ability to multiple admin login credentials to be used to access their account.
This is obviously a relatively custom contract but making it in a format that can be used in the future with some editing is ideal. This is the first contract we have of its kind so it will be the base for future contracts.
