Legal Memorandum for Dubai Subsidiary Establishment

Please prepare a memorandum of legal advice in relation to the establishment of a subsidiary in Dubai in the Dubai Multi Commodities Centre. Please provide a memorandum of advice evaluating the legal aspects of the DMCC incorporation which will address the following items below which will also incldue the process, documents and timeline for establishment of the Dubai Subsidiary: (i) legal compliance review in relation to the potential brand confusion risks under applicable UAE laws (excluding branding strategy or commercial positioning) (ii) Legal analysis and regulatory compliance advice in relation to equity structuring for the proposed DMCC subsidiary, including under UAE federal law and DMCC regulations; (iii) High-level cross jurisidctional legal risk assessment covering regulatory compliance, contract enforceability and potential legal liability; (iv) Legal feasibility assessment of the proposed licensed activities for the DMCC subsidiary under the DMCC and UAE regulatory framework; (v) Legal and regulatory considerations relating to visa eligibility and capacity applicable to the DMCC subsidiary; (vi) High level legal review of UAE capital flow and repatriation regulations; (vii) Legal risks associated with the establishment, registration and ongoing corporate operation of a DMCC entity.
