This paper examines the determinants of CEO compensation. There are many factors that influence on CEO compensation. This paper tried to figure out whether there exists any relation between CEO compensation with R & D expenditures, internationalization, firm size, accounting performance and market performance. 193 firms are selected as sample from forbes.com special report on CEO compensation of forbes 500 firms. All data are collected over the period from 2007 to 2008. Horizon problem and cover up problem is used as the proxy for R & D expenditures. Ratio of sales from foreign affiliates to revenue is used as the proxy for internationalization. Book value of total assets is used as the proxy for firm size. ROE is used as the proxy for accounting performance and Tobin's Q is used as the proxy for market performance.To examine the relation between CEO compensation and other variables, linear regression model was used in this paper.
