Program to modify install properties and control systray application

We need 2 small applications The first is a simple program that will be executed as part (post) of the installation of another app to modify some registry keys and stop the running application (it gets started as part of the install process). The second application is a simple windowless application that will be called upon to control yet another application. All the program needs to do is start the application via a simple command line, and then kill that same application when it, itself receives a WM_CLOSE from the program that launched it.
Existing app_a -> new_app -> starts app_b
Existing app_a -> send WM_CLOSE to new_app -> stops app_b
The only reason we need this "new_app" is that app_b is a systray app and doesn't respond to WM_CLOSE. It does however provide an easy to use command line interface to start and stop the program.
This application should run on Win 98, ME, XP, NT, and 2000. It should not be written using .net, unless you can write it in such a way that precludes the need to distribute the [login to view URL] code (23MB is just too big a hit for this small application).
Knowledge of the Microsoft autodialer API, used in 2000 and XP (if such a thing even exists) may be helpful, but not essential.
