Convert PNG to PSD

Need someone to convert 2 PNG image to PSD format. See files attached! They MUST BE 100% Match! The other thing that I will need you to do is where the "no pay local daily deals" "Vancouver" "Change city" right by the logo is to remove the white spaces as you see there. The photo image of a box display don't matter The text dont' matter. The map don't matter! What matters is the format, actual sizes of each box, all the fonts, colors, every detail and background everything must be provided. What you need to provide is the fonts for every text on the pages used and the colors used as well as the text for them and the rest of the details and deliver it in PSD format. As as well as the backround. It must be 100% match! I have hired 3 people already to do this type of work and they have failed. See a 3rd file attached of a failed file, you might say whats wrong with it but if you can't see the difference please don't bit as you won't be able to provide what I'm looking for. The task must be completed within 1 day after the project is awarded! Paying $130 for this task since there is not much to do at all.
