Low bit rate voice recorder

I need a device thet will record voice (speech) on an SD or MMC flash card (16MB - 1GB) formated with fat so can be read on a PC. The files after compression have to be very low bit rate- 5 - 8kb/s with a good playback quality.(G.729 ?). The device will have 7 buttons for user i/f - 1) play/pause, 2) rec/stop, 3-4) next and prev record, 5) power up, 6-7) volume U/D, a rec led , a logic input that if low will start recording and when high stops the recording. An RTC chip will be used to time stamp the start of each record and in the end of the record will calculate the length. the time info will be write to the file. The device will operate from a lithum battery (3.6v) so it will be low power. The recorded files can be heard from the on board speaker. The device need to work a very long time unattended so a watchdog is needed. Software function: Vox - voice activate recording. Interface to PC with RS232 9.6kb ,115kb ,230kb the PC can control all the recorder functions - vox on/off , vox sensitivity ,mic sensitivity ,RTC setup , selected file download , all files download ,info(number of files,time remain etc) , erase selected files or all files. PC side: Language - VB6 Software running on windows XP,98 with installation setup file. Control panel for seting up recorder functions remotely. Save the downloaded files as WAV files so can be played on a PC The files will have a time stamp. search function to search the wav file and locate speech if long silence is recorded. please make a bid for software only and also for an hardware proto.
